Position Overview

We are seeking a highly motivated Legal Counsel to join Viola’s in-house legal team, supporting the firm’s Growth and Venture investment arms. The role is based in our Tel Aviv offices and reports directly to the General Counsel.

The Legal Counsel will be a business partner to our investment professionals, portfolio companies, and management teams, providing hands-on legal support across all investment and operational activities, reporting to the General Counsel of the Viola.

Key Responsibilities

• Draft, review, and negotiate a wide range of investment documents, including term sheets, share purchase agreements, shareholders agreements, and side letters.
• Advise on corporate governance matters for portfolio companies and fund entities.
• Support fund formation, investor relations, and compliance processes as needed.
• Collaborate with external counsel in Israel and abroad, ensuring effective, business-oriented legal solutions.
• Provide legal guidance to investment and operations teams on relevant regulatory, tax, and corporate issues.
• Assist the General Counsel with internal policies, contract management, and cross-fund legal matters.

Requirements

• LL.B. degree from a leading Israeli university.
• 3–5 years of post-qualification experience at a leading Israeli or international law firm, with a focus on corporate, M&A, and venture capital transactions.
• Strong drafting and negotiation skills in English and Hebrew.
• Proven experience working with technology companies and investors – advantage.
• Excellent business judgment, communication, and interpersonal skills.
• Ability to work independently in a fast-paced, collaborative environment.
